The Office of the Corporate Secretary:
The Office of the Corporate Secretary (“OSEC”) promotes strong corporate governance and transparency as outlined in the Bank’s bylaws and executes on the Board’s objectives in alignment with the Bank’s strategy. OSEC is tasked with arranging the Board meetings and logistics, and taking the meeting minutes. The Corporate Secretary convenes and advises key decision-making bodies, including the Board and its committees, and keeps the Bank’s corporate records and official seal.
The Role:
The Bank is looking for an Assistant Corporate Secretary to support the Corporate Secretary, Board of Directors (the “Board”), and the Bank’s Advisory Councils (“BAC”). The role operates with a high degree of independence and superior professionalism.
Key Responsibilities:
Manages operational aspects of processes, procedures, and projects within OSEC and implements technical solutions to increase business process efficiencies.
Ensures sensitive and complex issues related to the Board are handled with complete discretion and superior professionalism.
Builds collaborative working relationships with the Corporate Secretary, departments within the Bank, Board of Governors staff, and Federal Reserve System counterparts.
Assists with drafting, reviewing, and organizing Board materials.
Oversees and coordinates logistics related to Board meetings, including transportation, lodging, venue sites, and meals.
Attends Board and committee meetings and meticulously records meeting minutes and follow-up action items. Ensures aforementioned items are reviewed for appropriate content, accuracy, completeness, and professional appearance prior to distribution to the Board.
Manages BoardEffect and other OSEC technology administration including director training, user profile management, security review, and material posting processes.
Spearheads the development, enhancement, and execution of new director orientation and joint board meetings with District branches (El Paso, Houston, and San Antonio).
Helps manage and oversee the elections of our Class A and Class B directors, which may include interactions with executives and support staff at member banks in order to research prospective director candidates and eligibility requirements.
Maintains corporate governance practices and policies in accordance with applicable Bank and Board of Governors policies and the Bank’s bylaws. Ensures that OSEC and the Board’s processes and procedures follow all applicable guidance.
Supports coordinating activities relating to the Board and its interaction with senior management and BAC.
Supports the efforts to standardize processes/practices in all four offices (Dallas, El Paso, Houston, and San Antonio) in the District.
Supports budget tracking, expense monitoring, and projections of OSEC activities and maintains strict compliance with budgetary spending.
The Person:
In-depth understanding of the Federal Reserve System, the Board structure, and the governance of the Bank. Experience in corporate governance, legal, and compliance matters, gained at a large public company is preferred but not required.
High level of professionalism and an ability to interact and speak articulately with high-level executives.
Strong critical-thinking skills and applies industry insight and business priorities to align departmental objectives with broader organization goals.
Ability to self-start and work autonomously to meet tight deadlines.
Ability to remain flexible in ambiguous environments where plans and priorities to meet service and/or operational challenges may continuously change.
Ability to identify and resolve technical, operational, and organizational problems with tact and diplomacy.
Ability to influence management and stakeholders of the Bank, and across the System, through exceptional relationship management, judgment, and persuasive communication skills. Deep interest in public service and commitment to the mission of the Federal Reserve System.
Education & Experience:
Bachelor’s degree (equivalent education and/or experience may be substituted).
5 or more years of related governance experience preferred but not required.
Superior business writing skills and command of the English language.
Meticulous attention to detail with proven ability to maintain precision in work.
Ability to partner with, influence, and thoughtfully challenge executive leaders, comfortable engaging senior stakeholders both within and outside of the organization.
Strong project management skills to balance multiple priorities with attention to detail.
Demonstrated success in identifying and implementing process improvements and enhancing operational effectiveness.
Solid judgment and decision-making skills.
