Job Description

About the Role:

As Legal Counsel within Invesco’s Asia Pacific Investments Legal team (based in Hong Kong) you will provide high quality legal support to Invesco's private markets funds business in the Asia Pacific region.

This role will provide high quality legal support to Invesco’s private markets funds business, including supporting the structure, form, launch and maintain real estate and other alternative investment funds. The role will require close collaboration with key stakeholders, including private markets investment teams in Asia Pacific, Investments Legal colleagues in Americas and EMEA, and other relevant stakeholders.

There will also be opportunities to provide support on a range of wider initiatives and corporate and funds-related work associated with the public-side investment management business.

Responsibilities of the role:

  • Working closely with investment teams and other stakeholders to structure, form, launch and maintain real estate and other alternative investment funds.
  • Drafting, reviewing and negotiating fund documentation, including private placement memoranda, limited partnership agreements, subscription agreements, side letters and related legal documents.
  • Advising on the implementation of/compliance with global regulatory developments impactful to Invesco’s private markets business.
  • Providing legal advice and support on a range of issues related to fund formation, governance, operations, distribution/marketing and investor relations.
  • Coordinating with and managing external legal counsel, tax advisors and regulatory consultants as necessary.
  • Staying current on industry trends, regulations and best practices related to private markets fund formation and governance.

Requirement for the Role:

  • 6+ years of experience in investment management, with an emphasis on real estate or private equity fund formation.
  • Previous experience at a national law firm or as in-house counsel at a leading asset manager would be advantageous.
  • Strong understanding of alternative investment fund structures and related legal issues.
  • Familiarity with international fund structures and cross-border fund offerings preferred.
  • Proven track record of successfully forming, launching and managing complex alternative investment funds.
  • Experience drafting and negotiating joint venture agreements and other strategic investment transaction documents preferred.
  • Excellent drafting, negotiation and communication skills.
  • Ability to counsel stakeholders as a thought partner, with an emphasis on providing commercial, actionable legal advice.
  • Experience serving as a trusted advisor to leadership teams and business partners, with a proven ability to guide stakeholders through sophisticated legal, risk and strategic analyses, as well as providing on-the-fly advice to problem-solve in real-time.
  • High degree of personal and professional integrity.
  • Strong collaborative working style.
  • Full professional proficiency in English with the ability to work in Mandarin or Cantonese being a distinct advantage.
