DESCRIPTION:
Duties: Review financial data to build financial models and executing transactions from pitch to close. Review valuation analyses, including DCF, trading comparables, transaction comparables, LBO analysis, and business financial combination, prepared by Analysts. Advise on acquisitions, divestitures and leveraged buy-outs, or executing capital markets transactions, including equity offerings and debt issuances. Conduct quantitative analyses of information affecting investment programs for public and private institutions. Monitor industry trends and share reports and analyses with broader team, senior executives, and clients. Develop pitch materials to secure new business. Conduct industry and market research in order to execute mergers and acquisitions and capital raising transactions. This position requires up to 20% domestic travel.
QUALIFICATIONS:
Minimum education and experience required: Bachelor's degree in Business Administration, Finance, Accounting, or related field of study plus 3 years (36 months) of experience in the job offered or as CIB Associate, Private Equity, Investment Banking, Investment Banking Analyst, or related occupation. The employer will alternatively accept a Master's degree in Business Administration, Finance, Accounting, or related field of study plus 1 year (12 months) of experience in the job offered or as CIB Associate, Private Equity, Investment Banking, Investment Banking Analyst, or related occupation.
Skills Required: This position requires experience with the following: Analyzing companies' corporate finance and accounting documentation to advise on public and private company takeovers; Analyzing mergers and acquisitions transaction structures, legal structuring and tax aspects; Drafting, analyzing, and providing insights on M&A documentation including non-disclosure agreements, engagement letters, term sheets, fairness opinion letters, relationship disclosure letters, offer letters, and process letters; Developing financial models including business operating models and pro forma merger models to assess company valuations in buy-side, sell-side, and structured M&A transactions; Performing value creation analysis, combination analysis, internal rate of return analysis, sum-of-the-parts and synergy analysis, discounted cash flow analysis, comparable companies and precedent transaction valuation analysis, and premiums paid analysis to provide advice to clients on contemplated transactions; Analyzing merger agreements; Facilitating private and public company due diligence; Supporting M&A processes utilizing financial market data tools including Microsoft Office Suite, Bloomberg, FactSet, and VDR providers.
Job Location: 560 Mission Street, San Francisco, CA 94105. This position requires up to 20% domestic travel.
Full-Time. Salary: $225,000.00-$225,000.00 per year.
