The Technology and Intellectual Property Legal Team, which is a part of the Corporate Legal Department, provides legal support to the firm’s technology organization globally, across all lines of business, corporate functions, and regions. The Team provides primary legal coverage in the areas of Intellectual Property, Cybersecurity, Privacy, Blockchain and Cryptocurrencies, Cloud, Data Management, Technology Transactions, Outsourcing, SaaS and Licensing Agreements, and other emerging technologies including quantum computing and artificial intelligence/machine learning. The Team also supports many of the firm’s most innovative and cutting edge initiatives, including new products and services, the acquisition of all technology services, research and development, and external partnerships and collaborations.
As a Vice President / Assistant General Counsel (VP) in the Technology and Intellectual Property Legal Team, you will advise on IP issues at the center of JPMC’s strategic technology initiatives. The role focuses on shaping and negotiating IP provisions in complex vendor and partner arrangements, as well as supporting mergers, acquisitions, and investments across the firm by leading IP diligence, identifying and helping mitigate key IP risks, and counseling stakeholders on rights and obligations under relevant agreements in alignment with firm policies and regulatory expectations. You may also provide support on IP-related disputes and copyright matters as needed.

Job responsibilities
- Partner with the business and other legal experts of the Technology and Intellectual Property Legal Team to structure and negotiate IP terms in strategic technology agreements with vendors, partners, and other third parties
- Structure and negotiate IP terms in transaction documents for mergers, acquisitions, and strategic investments across all of the JPMC lines of business, including Stock Purchase Agreements, Merger Agreements, Acquisition Agreements, disclosure schedules, side letters, and other related transaction documents
- Conduct due diligence reviews of all IP-related documents in acquisition and investment transactions in coordination with outside counsel to identify and understand IP risks in proposed transactions, and participate in periodic project discussions with key stakeholders and other legal counterparts to track due diligence findings
- Provide advisory and transactional support to business and technology stakeholders on IP legal risks in connection with proposed transactions, including an evaluation of potential mitigants available to lower identified IP risks
- Review, interpret, and analyze IP agreements, advising clients and partners on IP rights and responsibilities related to those agreements, including in light of JPMorgan Chase policies and regulatory guidance
- Assist with IP litigation and copyright issues
Required qualifications, capabilities, and skills
- 6+ years of relevant intellectual property experience in a law firm or corporate law department.
- Substantial experience in drafting and negotiating IP provisions in various technology agreements, including IP licenses, software licenses, SaaS agreements, technology transfer agreements, consulting, professional, and other complex global technology agreements
- Substantial experience in handling IP-related due diligence and negotiating IP provisions in M&A/Strategic Investment transaction documents
- Strong analytical and problem-solving skills
- Strong business judgment and strategic thinking
- Proven ability to independently identify issues, analyze problems, and provide viable solutions
- Ability to communicate and interact effectively with all levels of personnel and management, including senior executives
- Ability to work accurately under pressure, handle deadlines, and manage multiple tasks in a high performance environment
- Excellent interpersonal skills and ability to build consensus across a global matrix organization
Preferred qualifications, capabilities, and skills
- In-house experience in the financial services industry or technology industry
